Corporate Registry Enforcement Changes

Effective October 4, 2017 the Corporate Registry is making changes to the way annual returns and renewals are enforced. 

Annual Returns

Please note the following changes to the enforcement of annual returns: 
  • The Corporate Registry will not send an advance notice or final notice when an entity has already submitted their annual return.  
  • Annual returns that are returned for corrections must be resubmitted within 30 days from the date on the returned submission correspondence. If the annual return is not resubmitted within this timeframe, the annual return submission will expire.  
  • Strike off from the registry will now occur 30 days from the date of the final notice or 60 days from the annual return due date, depending on the status of returned submissions.
  • All entities will receive a final notice prior to becoming eligible for strike off. The final notice is sent either two weeks after the entity’s annual return due date or immediately after the expiration of an annual return that was not resubmitted within 30 days of having been returned. 
  • If an annual return is not received within 30 days from the final notice, the entity will be struck from the registry. 
The annual return process will continue to be initiated with advance notice sent six weeks before the annual return due date.

Business Name Renewals

Please note the following changes to the enforcement of business name renewals:
  • The Corporate Registry will not send a renewal reminder notice when the entity has already submitted their business name renewal.  
  • Renewals that are returned for corrections will have 30 days from the date on the returned submission correspondence to resubmit their renewal. If the renewal is not resubmitted within this timeframe, the renewal submission will expire.
  • All business names will receive a renewal reminder notice prior to the business name expiring. The renewal reminder notice is sent either in advance of the business name anniversary date or after the expiration of the renewal submission that was not resubmitted within 30 days of having been returned.
The business name renewal process will continue to occur every three years and will be initiated with a renewal reminder sent six weeks in advance of the business name’s anniversary date (the date the business name was originally registered).
