Amalgamate a Condominium Corporation

In order to amalgamate a condominium corporation in the Corporate Registry application you will need to know your:

Reserved Corporate Name (Reservation Number) 
  • This is the name of the amalgamated corporation.
  • Alternatively, you may opt to select a numbered name or one of the predecessors names.

Amalgamation Details

  • The new plan number and amalgamation date.
  • The amalgamating businesses (entity numbers).
  • Select the predecessor whose articles will be used for the amalgamated entity.
  • Please ensure that you have included a Standard Unit Description attachment in .PDF format.

Address for Service

  • Physical address (location of Registered office which must be a Saskatchewan address).
  • Mailing address.
  • Email address.

Director/Officer Information

  • Includes first/middle/last names, email, physical, and mailing address of directors and/or officers.
  • Location of the business (this is the physical address, P.O. box numbers are not accepted).

Bylaws

  • You can either include customized bylaws or the standard set of legislated bylaws contained in The Condominium Property Regulations.
  • This includes entity dates (amalgamation date and fiscal year end date), nature of activities, member details (share details), authorized number of directors, restrictions, and/or articles of attachment.
  • This section will allow you to select your financial statement date and annual return due date.

Consent

  • The amalgamation must either be approved by resolution of directors or a special resolution of shareholders.

Power of Attorney

  • Only required when there is not a director with a physical address in Saskatchewan on file.

Fees
  • Fees applicable to your incorporation will be displayed under the fees tab in the Corporate Registry application. 

Filing your Condominium Corporation Amalgamation:

  • Login to the Corporate Registry application.
    • Select ‘file’.
  • Under the heading ‘reserve a name or create a company' click on ‘condominiums’ and select the ‘amalgamate’ option. You have 3 business name options:
  1. Name of an Amalgamating entity - select the name of one of the existing condominium corporations.
  2. New Numbered Name - this name will default to a nine digit number, ‘Saskatchewan’ and a legal ending that you select.
  3. Reserved Entity Name - you may have reserved a new business name for your amalgamated non-profit corporation. Here you enter in your business name reservation number. (This number can be found in your 'my activity' page).
  • Click ‘continue’.
  • Complete the application and submit.
    • Please ensure that you have included an articles attachment as well as a statutory declaration attachment in .PDF format.
    • The summary screen within the application will provide an overview of your registration.
