The Role of the Corporate Registry

When Saskatchewan converted to the online land titles system, changes were made regarding how a condominium corporation was created, and the filing of corporate information such as bylaw amendments and addresses for service. The Condominium Property Act, 1993 (“the Act”) has been amended accordingly to reflect these new processes. Recent changes require condominium corporations to file additional documents.
 

CONDOMINIUM CORPORATION NAMES AND ENTITY NUMBERS 

A condominium corporation may be registered at the Corporate Registry in two different ways:
  • “The Owners: Condominium Corporation No. (entity number issued by Corporate Registry)”. In the new land titles system, a corporation can be set up with a standard name based on the corporate entity number that is issued by Corporate Registry. 
     e.g. The Owners: Condominium Corporation No. 10103450.
  • A name that meets the requirements of the Act and was approved by the Director of Corporate Registry. In order to use a reserved name your Condominium packet must be submitted with a copy of a valid name reservation letter from the Corporate Registry.
    e.g. Harvest Villas Condominium Corporation
 
TO CHANGE CORPORATION NAME 
A condominium corporation can apply to change its name, subject to the requirements and restrictions in the Act.  For information on how to obtain approval for and reserve a specific name, please refer to the reserve a name overview for assistance in choosing your condominium corporation name. CORPORATE ENTITY NUMBER  
Each condominium corporation has an entity number issued by Corporate Registry, regardless of whether the condominium was created in the old or new land titles system. The entity number assists ISC in identifying the condominium corporation in various transactions.

To obtain the condominium corporation entity number, search online via the Corporate Registry Application by entering the condominium plan number in the Company Name field or alternatively contacting the Corporate Registry located at 1301 1st Avenue in Regina, or by calling 1-866-275-4721 and provide a condominium plan number or location or other information that can help identify the condominium corporation for which you are searching.

ANNUAL RETURNS 

As of April 2015, changes to The Condominium Property Act, 1993 require condominium corporations to file annual returns with the Corporate Registry. Returns may be filed by completing the Annual Return which is generated and sent to the address for service prior to the corporations anniversary date and submitting the completed form to the Corporate Registry by one of the means listed below.

DIRECTORS 

As of April 2015, changes to The Condominium Property Act, 1993 require condominium corporations to file an annual notice of directors with the Corporate Registry. The notice is part of the annual return, and may be filed by completing the Annual Return and submitting the completed form to the Corporate Registry by using one of the means listed below.

To File Director Amendments:
Any changes of directors for service must be filed with the Corporate Registry. A change in directors may be filed online via the Corporate Registry application; you can find basic instructions on the maintain a condominium corporation page. Forms may also be used, complete the Change of Directors/Officers form, available on the Corporate Registry condominium corporation forms page, and submit the completed form to the Corporate Registry using one of the means listed below.

ADDRESS FOR SERVICE

Each condominium corporation is required to have an address for service. An address for service is one way by which documents may be served on a corporation or its board.

This information is now maintained at Corporate Registry. The address is service is initially provided as part of the application for titles to new units pursuant to an approved plan, which is then forward this information to Corporate Registry.

To File Address for Service Amendments:
Any changes to addresses for service must be filed with the Corporate Registry. A change in address may be filed online via the Corporate Registry application; you can find basic instructions on the maintain a condominium corporation page. Forms may also be used, complete the Change of Address for Service  available on the Corporate Registry condominium corporation forms  page and submit the completed form to the Corporate Registry using one of the means listed below. There is no charge to file a change of address for service.

Note: A change of address for service has no effect until it's received and registered with the Corporate Registry.  

BYLAWS  

The Act includes standard bylaws that come into force when a condominium corporation is created – see section 45 of the Act. These bylaws are found in Part III of the Regulations. This insures that there are bylaws in place to regulate the corporation until such time as the board decides it wishes to enact its own bylaws.

A condominium corporation may amend or repeal its bylaws, whether these are the initial bylaws provided by statute or ones made later by the board. In the old system, any changes to the bylaws were filed with Land Titles against the condominium plan. Specifically, the instrument number was noted on the encumbrance sheet attached to the plan.

In the new system, Corporate Registry maintains all information about bylaws and their amendments.

To File Bylaw Amendments:

A corporation may amend or repeal bylaws only by special resolution. Any changes to bylaws are required to be filed with the Corporate Registry. A change in bylaws can be filed online via the Corporate Registry application; you can find basic instructions on the bylaws and standard unit description page. To file via forms, a condominium corporation may complete an Amend Bylaws form, available on the Corporate Registry condominium corporation forms page and submit the completed form and associated fees to the Corporate Registry by one of the means listed below.

Once submitted, the Corporate Registry will examine the bylaw amendment, and if it appears to be in order, will stamp it as “filed”. A copy of the document is then sent back to the submitting party.

A bylaw change has no effect until a copy has been filed with Corporate Registry.

HOW TO FILE FORMS WITH THE CORPORATE REGISTRY  

There are required fees with most filing procedures. Please refer to the fee schedule prior to submitting any required documents in order to ensure that the appropriate fees are included.
